By accessing our Website or purchasing, downloading, installing, or using our Software, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or Software.

This license is personal to you and may not be shared with, transferred to, or used by any other individual or entity. The Software is licensed, not sold. Northern Valley Audio retains all ownership rights in the Software.

The Software and all copies thereof are proprietary to Northern Valley Audio and title thereto remains in Northern Valley Audio. All rights in the Software not specifically granted in this license are reserved to Northern Valley Audio.
The Software is protected by United States copyright laws and international treaty provisions. You acknowledge that:
You retain ownership of any original musical works, recordings, or compositions you create using the Software. However, the Software itself and its underlying code, algorithms, and design remain the property of Northern Valley Audio.
All prices are listed in United States Dollars (USD) and are subject to change without notice. Current product pricing: Pad Engine ($49 USD), Roomtone Amp Sim ($29 USD), and Aqua Chorus ($19 USD). All products are one-time purchases with no subscription required.
All payments are processed securely through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy. Northern Valley Audio does not store your complete credit card information on our servers.
We accept major credit cards, debit cards, and other payment methods as supported by Stripe.
Prices may not include applicable taxes. You are responsible for paying any applicable sales tax, VAT, or other taxes required by your jurisdiction.
If a payment fails or is declined, you will not receive access to the Software. Please ensure your payment information is accurate and your account has sufficient funds.

Our products are available for Mac and Windows computers and support VST3, AU (Audio Unit), and Standalone formats. Please ensure your system meets the minimum requirements before purchasing. System requirements are listed on each product page.
Due to the digital nature of our Products, all sales are generally considered final. Once a download link has been delivered, the product is considered delivered in full.
We may, at our sole discretion, offer a refund within fourteen (14) days of purchase under the following circumstances:

You acknowledge that you are using the Software at your own risk. Any material downloaded or otherwise obtained through the use of the Software is done at your own discretion and risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORTHERN VALLEY AUDIO, ITS OWNERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF NORTHERN VALLEY AUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL NORTHERN VALLEY AUDIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Northern Valley Audio's liability will be limited to the fullest extent permitted by applicable law.
Northern Valley Audio may terminate or suspend your license immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:
You may terminate your license at any time by uninstalling and destroying all copies of the Software. No refund will be provided upon voluntary termination.
The following sections shall survive any termination of these Terms: Intellectual Property Rights, Warranty Disclaimer, Limitation of Liability, Governing Law, and any other provisions that by their nature should survive.
These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Software shall be resolved exclusively in the federal or state courts located in the United States. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Before initiating any legal proceeding, you agree to first contact Northern Valley Audio and attempt to resolve any dispute informally. Most concerns can be quickly resolved through email communication.
Northern Valley Audio reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on our Website with a new "Last Updated" date.
Your continued use of the Software after the effective date of the revised Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Software.

The failure of Northern Valley Audio to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Northern Valley Audio.
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without the prior written consent of Northern Valley Audio. Northern Valley Audio may assign these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.
By using Northern Valley Audio products, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
